Standard Livestream Production Terms

These Standard Livestream Production Terms apply to livestream production, event video, drone/aerial media, recording, and related production services provided by Gopher Drones, LLC ("Provider"). A signed statement of work, quote, invoice, or written agreement may incorporate these terms by reference. If there is a conflict between these terms and a signed statement of work, the signed statement of work controls.

Services

Provider will provide the services described in the applicable statement of work, quote, invoice, or written agreement. Services may include livestream production, ground camera coverage, drone/aerial footage, field audio, commentary equipment setup, internet connectivity, production equipment, setup, operation, stream management, recording, editing, or other event media services.

Provider does not provide commentator, announcer, emcee, or on-air talent unless expressly stated in writing. If the customer supplies commentator(s), Provider may provide technical setup or equipment when included in the scope.

Fees, Taxes, and Payment

Fees, deposits, payment timing, and billing details are stated in the applicable statement of work, quote, invoice, or written agreement. Unless otherwise stated in writing, amounts are exclusive of applicable taxes, and payment is due within 30 days after the event date or invoice date. Customer is responsible for applicable sales tax unless Customer provides a valid tax exemption certificate.

Customer Access and Cooperation

Customer is responsible for providing timely access, approvals, materials, and cooperation needed for Provider to perform the services. This includes, as applicable:

  • providing logos, sponsor graphics, rosters, schedules, promotional graphics, and other requested stream assets in advance;
  • confirming Provider has permission to operate at the venue;
  • providing reasonable access for setup, operation, equipment placement, cabling, and teardown;
  • keeping event staff, spectators, and participants from interfering with Provider's production areas, cameras, drone operations, audio equipment, power equipment, or connectivity equipment;
  • coordinating with venue staff, security, event staff, and any platform or account administrators whose cooperation is needed for the event.

Streaming Platform and Account Access

If services involve streaming to Customer's YouTube, social media, or other platform account, Customer is responsible for providing timely access, permissions, login support, re-authentication support, and a designated person available during setup and on the event day to resolve account or channel issues.

Provider is not responsible for delays, interruptions, takedowns, restrictions, copyright claims, strikes, account limitations, platform outages, platform policy decisions, access problems, or permission issues arising from Customer's account, selected platform, channel status, or third-party service providers.

Music, Copyright, and Third-Party Materials

Customer is responsible for all third-party materials provided, selected, played, displayed, or controlled by Customer, the venue, event staff, sponsors, teams, or participants, including music, PA audio, logos, sponsor graphics, team marks, promotional materials, video clips, images, and platform account content.

Customer understands that loudspeaker audio and venue audio may be captured in a livestream or recording. Customer is responsible for ensuring that any music or other audio played over loudspeakers is authorized for public playback and inclusion in the livestream or recording. Provider recommends avoiding commercial or copyrighted music over loudspeakers during any broadcast window unless the appropriate rights and licenses are in place.

Customer agrees to indemnify and hold Provider harmless from claims, takedowns, copyright strikes, Content ID claims, licensing disputes, trademark disputes, account restrictions, damages, fees, or expenses arising from Customer-controlled or venue-controlled music, audio, graphics, logos, trademarks, account access, platform content, or third-party materials.

Drone Operations

Provider is responsible for compliance with applicable FAA rules, regulations, guidance, and requirements related to Provider's drone operations. Provider's remote pilot is Part 107 certified.

Provider has sole and final decision-making authority over whether, when, where, and how drone flights occur. Drone operation is not guaranteed. Provider may decline, limit, delay, relocate, or stop drone operations for any reason related to FAA compliance, weather, wind, precipitation, airspace, temporary flight restrictions, safety, crowd proximity, site conditions, equipment status, interference, visibility, venue restrictions, or Provider's professional judgment.

If drone flight is not possible or advisable, Provider will continue to provide non-drone coverage where reasonably possible. Lack of drone footage does not automatically reduce the fee.

Weather, Safety, and Conditions Outside Provider's Control

If weather, safety concerns, venue restrictions, equipment interference, internet platform issues, streaming platform issues, account access issues, power restrictions, government action, emergency conditions, acts of God, or other circumstances outside Provider's reasonable control prevent or materially limit performance, Provider will make reasonable efforts to continue providing available services.

Provider has the sole right to determine whether any discount, credit, rescheduling accommodation, or fee adjustment is appropriate based on the services actually provided and the circumstances involved. Any such adjustment must be made in writing by Provider.

Cancellation, Postponement, and Scope Changes

If Customer cancels the event, postpones the event, changes the date, changes the venue, or materially changes the scope, the applicable statement of work or agreement dissolves unless the parties agree in writing to a replacement date or revised scope. Provider's availability for any replacement date is not guaranteed.

Ownership and Customer License

Provider retains ownership of raw footage, production materials, recordings, project files, templates, graphics created by Provider, and related media captured or created by Provider unless a written agreement states otherwise.

Upon full payment, Customer receives a broad, perpetual license to use, copy, post, share, archive, and distribute the final livestream recording and delivered event footage for Customer's organizational, promotional, archival, and non-commercial purposes, unless the applicable agreement provides a different license.

Provider is not required to deliver raw files, project files, camera originals, or internal production materials unless expressly stated in writing.

Youth Participants and Marketing Use

When an event involves youth participants, Provider will not use event footage, images, or clips for Provider's portfolio, demo reel, social media, advertising, or marketing without Customer's prior written approval. Customer is responsible for any participant, parent, guardian, school, league, venue, or organizational permissions needed for the event to be filmed, streamed, recorded, posted, or distributed.

Insurance

Provider maintains general liability insurance and drone insurance. Proof of insurance may be provided upon reasonable request.

Customer Assumption of Risk; Release; Indemnity

To the fullest extent permitted by law, Customer assumes the risks arising out of or related to the event, venue, spectators, participants, Customer-provided access, Customer-requested production activities, filming, livestreaming, equipment placement, cabling, power, internet, and drone/aerial operations performed for Customer's benefit.

Customer releases, defends, indemnifies, and holds harmless Provider and its owners, employees, contractors, pilots, representatives, and insurers from and against claims, demands, damages, losses, liabilities, injuries, property damage, costs, expenses, attorneys' fees, regulatory claims, and third-party claims arising out of or related to the services, the event, the venue, the livestream, equipment placement, cabling, power, internet, or drone/aerial operations, including claims arising from Provider's own ordinary negligence.

This release and indemnity is intended to apply to claims based on ordinary negligence and inherent event, venue, production, livestreaming, and drone/aerial risks. It does not apply to the extent a claim is finally determined by a court of competent jurisdiction to have resulted from Provider's gross negligence, willful misconduct, or intentional misconduct, or to the extent the release or indemnity is prohibited by applicable law. If any portion of this section is found unenforceable, the remaining enforceable portions will remain in effect to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, Provider's total liability arising out of or related to the services, these terms, or any applicable statement of work will not exceed the amount actually paid by Customer to Provider for the services giving rise to the claim.

Provider is not liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-revenue damages, including damages related to platform issues, copyright claims, account restrictions, weather, drone flight limitations, internet disruptions, power issues, venue restrictions, or circumstances outside Provider's reasonable control.

SMS and Service Communications

If Customer opts in to SMS/text communications from Provider, Customer agrees to receive conversational and operational messages related to inquiries, scheduling, production coordination, support, invoices, reminders, and requested services. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent is not a condition of purchase.

Provider does not sell, rent, share, or transfer mobile phone numbers or SMS consent information to third parties or affiliates for marketing or promotional purposes.

Governing Law

These terms and any incorporated statement of work are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules.

Changes to These Terms

Provider may update these terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. For a signed statement of work, the version incorporated at the time of signing applies unless the parties agree otherwise in writing.
